Terms of Service

These terms apply to HaltState, the AI governance and runtime control plane operated by Krystal Unity Pty Ltd. Shared Krystal Unity terms and legal framework information are available at krystalunity.com/terms.

1. Agreement

These Terms of Service are an agreement between you or the organisation you represent and Krystal Unity Pty Ltd, the Australian company operating HaltState. By creating an account, using HaltState, or signing an order form that references HaltState, you agree to these terms.

2. Service description

HaltState provides AI agent governance infrastructure, including runtime policy enforcement, approval workflows, kill-switch controls, agent telemetry, governance state, and cryptographically verifiable Proof Packs.

The service is designed to support internal controls and evidence workflows aligned to AI governance regimes such as California SB-53, the EU AI Act, New York RAISE, and the Colorado AI Act. HaltState provides operational tooling and evidence infrastructure, not a legal compliance certification.

3. Account responsibilities

You are responsible for maintaining credential security, configuring policies accurately for your agents and risk posture, limiting operator access to authorised personnel, and promptly notifying us of suspected account compromise or security incidents.

You are also responsible for validating that your configured policies, approval thresholds, retention settings, and escalation flows match your own legal, contractual, and operational obligations.

4. Billing

Paid HaltState plans are billed through Stripe in AUD, USD, or another currency shown on the applicable order form or checkout page. Plans may include subscription fees, seat-based charges, and usage components such as Proof Pack volume or retained audit evidence volume where applicable.

Fees are due according to the billing interval selected or stated in the order form. Taxes, currency conversion charges, and third-party payment fees may apply.

5. Data ownership

You retain ownership of your policy configurations, governance records, Proof Packs, uploaded configuration material, and customer-controlled workspace data. Krystal Unity receives a limited licence to host, process, transmit, secure, back up, and display that data as needed to provide HaltState, support your account, comply with law, and protect the service.

We do not claim ownership of your AI agents, business logic, customer application data, or compliance evidence generated for your workspace.

6. Acceptable use

You must not use HaltState to evade legal obligations, falsify or tamper with Proof Packs, misrepresent policy evaluation outcomes, attack or impair the service, or harm operator-monitored agents in production without proper authority and disclosure.

You must not upload illegal material, use the platform to facilitate abuse, or attempt to bypass access controls, retention controls, or audit controls.

7. Service availability

Standard HaltState plans do not include a guaranteed service level agreement. Enterprise uptime, support, incident response, data residency, or recovery commitments must be stated in a separate signed contract or order form.

8. Compliance disclaimer

HaltState provides governance infrastructure, not legal compliance certification. You are responsible for verifying your own obligations in each jurisdiction where you operate.

We provide tools intended to support governance, auditability, and compliance evidence workflows. We do not warrant that using HaltState will make you compliant with any law, regulator expectation, audit standard, procurement requirement, or internal policy.

9. Warranty disclaimer

Except where a separate signed agreement states otherwise, HaltState is provided "as is" and "as available" without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free operation.

10. Limitation of liability

To the maximum extent permitted by law, Krystal Unity's aggregate liability arising from HaltState is capped at the fees paid by you for HaltState during the 12 months before the event giving rise to the claim.

We are not liable for indirect, incidental, special, consequential, punitive, exemplary, or lost-profit damages, including lost data, lost revenue, lost business opportunity, regulatory penalty exposure, or business interruption, except where such limitation is prohibited by law.

11. Governing law

These terms are governed by the laws of New South Wales, Australia. The courts of New South Wales have non-exclusive jurisdiction, subject to any mandatory rights or venues that cannot be excluded under applicable law.

12. Changes

We may update these terms as HaltState evolves. Material changes will be posted on this page and, where appropriate, communicated through account notices or service email.
